Shares Crash Up to 32% as IRDAI Proposes Strict Commission Limits

In what emerged as the most dramatic single-session corporate stock accident on Dalal Street, shares of Policybazaar's parent company, PB Fintech, suffered an unprecedented intraday collapse on Thursday, September 24, plunging as much as 32 percent after the Insurance Regulatory and Development Authority of India (IRDAI) published an extensive consultation paper late Wednesday evening. The stock, which had closed at ₹1,886.30 the previous session, opened deep in the red at ₹1,697.70 to instantly trip a 10 percent lower circuit, before cascading further into 15 percent, 20 percent, and 23 percent drops throughout the morning. The intense selloff culminated in a staggering ₹1,262 crore block deal around 2:30 PM involving 97.43 lakh shares—representing approximately 2 percent of the company's total equity—exchanged at an estimated price of ₹1,288 per share, which finally unlocked the lower circuit restrictions as high-volume institutional turnover altered hands.Regulatory Reset: Proposed Caps on Health, Life, Motor Commissions and Total ExpensesThe primary trigger rattling the digital distribution ecosystem is IRDAI's draft framework, which proposes to overhaul distributor payouts and tighten the aggregate expense of management (EoM) across insurance carriers, with public and corporate feedback open until October 25, 2026. Under the draft guidelines, commission rates are structured based on product complexity, selling effort, and distribution channels: first-year distributor commissions for new retail health policies are proposed between 15 and 20 percent (dropping to 5 to 10 percent on renewals and porting), while life insurance first-year payouts would be capped between 5 and 20 percent depending on policy duration, alongside a zero-commission mandate for third-party motor insurance on new vehicles. Crucially, the regulator has targeted hidden payouts by proposing that marketing support, performance rewards, and contest bonuses be clubbed under the formal commission ceiling, bringing all auxiliary distributor earnings under unified regulatory oversight.Brokerage Flags Margin Squeeze: Bernstein Highlights Contact-Wall Ban and Call Center OverheadsAnalyzing the fallout, global brokerage firm Bernstein highlighted that the proposed overhaul presents unique operational and margin headwinds for digital platforms like Policybazaar compared to unorganized individual agents. Because PB Fintech maintains substantial fixed operational expenditures across dedicated customer support centers, tech stacks, and tele-advisory infrastructure, any downward pressure on policy payouts directly compresses operational EBITDA when per-unit distribution costs remain sticky. Furthermore, Bernstein warned against the draft provision prohibiting aggregators from mandatorily demanding customer phone numbers or contact details before displaying upfront comparison quotes, noting that restricting early lead capture could diminish customer re-engagement rates and conversion funnels. With PB Fintech commanding a market capitalization of ₹78,561 crore against a 52-week peak of ₹2,246.90 and an all-time low of ₹356.20, investors remain on edge as stakeholders prepare counter-representations before the October 25 deadline.
